These Terms of Service ("Terms") govern your access to and use of Graphlit, operated by Unstruk Data, Inc. ("Graphlit", "Company", "we", "our", or "us").

By creating an account, accessing the Service, using the Service, connecting a data source, uploading content, calling an API, or otherwise using Graphlit, you agree to these Terms.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" and "Customer" refer to that organization.

If you do not agree to these Terms, do not use the Service.

1. The Service

Graphlit is an AI-powered knowledge management platform for developers that helps customers ingest, transform, index, retrieve, and use customer-controlled data in AI-powered applications, retrieval workflows, conversations, and agent context pipelines.

The Service may include APIs, SDKs, hosted services, developer tools, dashboards, connectors, integrations, ingestion pipelines, search and retrieval features, metadata extraction, embeddings, conversation history, AI-assisted workflows, and related functionality.

Graphlit does not train, fine-tune, host, or deploy its own AI foundation models. Certain features may allow you to configure or invoke third-party AI model providers through the Service.

We may modify, improve, suspend, or discontinue parts of the Service at any time.

2. Eligibility and Account Registration

You must be at least 13 years old to use the Service.

If you are over 13 but not old enough to form a binding contract in your jurisdiction, you may use the Service only with consent from a parent or legal guardian.

To use certain features, you may need to create an account. You are responsible for:

  • Providing accurate and current account information
  • Maintaining the confidentiality of your credentials
  • Protecting API keys, tokens, and access credentials
  • All activity under your account
  • Promptly notifying us of any unauthorized access or suspected security issue

We may suspend or terminate accounts that violate these Terms, create security risk, or use the Service in a harmful or unlawful manner.

3. Customer Data

"Customer Data" means content, files, text, prompts, records, metadata, documents, messages, images, audio, video, embeddings, outputs, queries, data from connected systems, and other information that you or your authorized users submit to, upload to, connect to, or process through the Service.

You retain ownership of Customer Data.

You grant Graphlit a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, transform, index, embed, retrieve, and otherwise use Customer Data solely as necessary to provide, secure, support, maintain, and improve the Service in accordance with these Terms, our Privacy Policy, and, where applicable, our Data Processing Addendum.

You are responsible for ensuring that you have all rights, permissions, notices, consents, and legal bases necessary to submit Customer Data to the Service and to use the Service with your selected data sources, model providers, integrations, and downstream applications.

4. Processing of Customer Data

Depending on your configuration and use of the Service, Graphlit may process Customer Data to provide functionality such as:

  • Data ingestion from files, APIs, public web sources, and customer-authorized private sources
  • Content extraction and transformation
  • Metadata extraction
  • Markdown conversion
  • Embedding generation
  • Indexing and retrieval
  • Entity-aware retrieval and context workflows
  • Conversation history
  • Summarization, classification, extraction, question answering, generation, and AI-assisted responses
  • Customer-configured agent and retrieval workflows

Graphlit does not use Customer Data to train or fine-tune AI foundation models.

Graphlit does not sell Customer Data.

Graphlit does not share Customer Data for unrelated third-party use.

Customer Data may be sent to third-party providers, including AI model providers, when necessary to provide customer-configured functionality or when you choose to use features that depend on those providers.

5. Data Processing Addendum

To the extent Customer Data includes Personal Data subject to applicable data protection laws, the Graphlit Data Processing Addendum available at:

is incorporated into these Terms and forms part of the agreement between you and Unstruk Data, Inc.

By creating an account, using the Service, connecting third-party data sources, uploading content, submitting Customer Data, or otherwise processing Personal Data through the Service, you agree to the Data Processing Addendum.

If you have entered into a separately signed agreement with Unstruk Data, Inc. that expressly governs the processing of Personal Data, that agreement will control to the extent of any conflict.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, available at:

The Privacy Policy explains how we collect and use information in connection with the Service.

7. Security

Graphlit maintains administrative, technical, and organizational measures designed to protect Customer Data. Our current security practices are described in our Security Policy, available at:

No method of transmission, storage, processing, or access control is completely secure. You are responsible for securing your own accounts, credentials, API keys, connected data sources, applications, and downstream systems.

8. Third-Party Services and Model Providers

The Service may allow you to connect to, invoke, retrieve from, or send data to third-party services, including storage systems, collaboration tools, productivity applications, CRM systems, developer platforms, authentication providers, payment processors, analytics services, and AI model providers.

Your use of third-party services may be governed by separate terms, privacy policies, data processing terms, usage policies, or provider-specific settings.

Graphlit is not responsible for third-party services, third-party content, third-party systems, or third-party model behavior except to the extent expressly required by applicable law or written agreement.

You are responsible for selecting third-party services and model providers appropriate for your use case, data sensitivity, compliance obligations, and risk profile.

9. AI Outputs and Customer Responsibility

The Service may generate, retrieve, summarize, classify, transform, or display outputs using customer-selected data, prompts, retrieval configuration, workflow settings, and third-party AI model providers.

AI-generated outputs may be inaccurate, incomplete, misleading, offensive, biased, or unsuitable for your intended use.

You are responsible for:

  • Reviewing outputs before relying on them
  • Implementing human review where appropriate
  • Designing appropriate guardrails and approval workflows
  • Ensuring downstream use complies with applicable law and policy
  • Avoiding use of the Service as the sole basis for regulated, high-risk, safety-critical, employment, credit, healthcare, legal, financial, biometric, law enforcement, or essential-service decisions unless separately assessed and contractually approved

Graphlit does not guarantee the accuracy, completeness, legality, safety, or suitability of AI-generated outputs.

10. Acceptable Use

You may not use the Service to:

  • Violate any law, regulation, contract, or third-party right
  • Infringe intellectual property, privacy, publicity, or other rights
  • Upload or transmit malware, viruses, worms, Trojan horses, ransomware, spyware, or other harmful code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service
  • Probe, scan, or test the vulnerability of the Service except through authorized responsible disclosure activity
  • Bypass usage limits, rate limits, billing systems, authentication, authorization, or security controls
  • Reverse engineer, decompile, disassemble, or attempt to extract source code, models, algorithms, or non-public systems except to the extent allowed by law
  • Use the Service to build, train, or improve a directly competing product or service without our prior written consent
  • Scrape, harvest, or extract data from the Service except as expressly permitted by the API or documentation
  • Use the Service to generate, distribute, or facilitate illegal, harmful, abusive, deceptive, or infringing content
  • Use the Service for spam, phishing, fraud, impersonation, harassment, or abusive behavior
  • Use the Service in a way that creates security, operational, legal, reputational, or regulatory risk for Graphlit or other users

We may investigate and take action against any use that we believe violates these Terms or creates risk to the Service, our customers, or third parties.

11. Subscriptions, Billing, and Payment

The Service may offer free and paid plans. Paid plans are billed through Stripe or another payment provider.

By subscribing to a paid plan, you authorize us and our payment processor to charge the payment method you provide for subscription fees, usage-based fees, overages, taxes, and other applicable charges.

Unless otherwise stated, subscriptions renew automatically until canceled.

You may cancel your subscription through the Service or by following the instructions provided in your account or billing portal.

Fees are non-refundable except where required by law or expressly stated otherwise.

We may change pricing, plan limits, included features, credit amounts, usage rules, or billing methods from time to time. For existing paid subscriptions, we will provide reasonable notice of material pricing changes where required by law or where commercially practical.

12. Usage Limits and Fair Use

The Service may be subject to usage limits, rate limits, storage limits, credit limits, API limits, feature limits, or other restrictions based on your plan or configuration.

We may enforce limits, throttle usage, require plan changes, suspend access, or restrict activity that exceeds reasonable usage patterns, threatens the stability of the Service, creates excessive cost or risk, or violates these Terms.

You may not access the Service in a manner intended to avoid incurring fees, exceeding usage limits, or bypassing plan restrictions.

13. Beta and Experimental Features

We may make alpha, beta, preview, experimental, or early-access features available from time to time.

Beta features are provided for evaluation and testing. They may be incomplete, unstable, unavailable, inaccurate, or changed without notice.

Use of beta features is voluntary and at your own risk. Beta features are provided "as is" and may not be covered by the same support, security, availability, or reliability commitments as generally available features.

14. Feedback

You may provide feedback, suggestions, ideas, comments, or recommendations about the Service.

You grant Graphlit a perpetual, irrevocable, worldwide, royalty-free license to use, modify, commercialize, and incorporate feedback without restriction or compensation, provided that we do not identify you as the source of the feedback without your permission.

15. Intellectual Property

Graphlit and its licensors own all rights, title, and interest in and to the Service, including software, APIs, SDKs, documentation, designs, workflows, systems, interfaces, trademarks, logos, and other proprietary technology.

Except for the rights expressly granted in these Terms, we do not grant you any rights to the Service or Graphlit intellectual property.

You may not remove, obscure, or alter proprietary notices in the Service.

16. Confidentiality

You may receive non-public information about the Service, including beta features, roadmap information, technical information, pricing, security information, business information, or other information marked or reasonably understood to be confidential.

You may use confidential information only for purposes of using or evaluating the Service and may not disclose it to third parties except as required by law or with our prior written consent.

These confidentiality obligations do not apply to information that is publicly available through no fault of yours, independently developed without use of confidential information, or lawfully received from a third party without confidentiality obligations.

17. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate your access to the Service if:

  • You violate these Terms
  • Your use creates security, legal, operational, or reputational risk
  • Your payment method fails or your account is past due
  • We are required to do so by law
  • Continuing to provide the Service would create risk to Graphlit, customers, users, or third parties

Upon termination, your right to use the Service will cease. You are responsible for exporting Customer Data before termination where applicable.

We may delete Customer Data following account termination, project deletion, or inactivity, subject to legal, operational, backup, and contractual retention requirements.

Sections that by their nature should survive termination will survive, including provisions relating to payment obligations, ownership, confidentiality, disclaimers, limitations of liability, indemnification, dispute resolution, and data processing obligations that survive by law or contract.

18. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Graphlit, UNSTRUK DATA, INC., AND THEIR AFFILIATES, LICENSORS, AND PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, RELIABILITY, ACCURACY, AND COURSE OF DEALING.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE, ACCURATE, COMPLETE, OR FREE OF HARMFUL COMPONENTS.

WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, SAFE, NON-INFRINGING, COMPLIANT, OR SUITABLE FOR YOUR INTENDED USE.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNSTRUK DATA, INC., Graphlit, AND THEIR AFFILIATES, LICENSORS, PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO Graphlit FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR
  2. ONE HUNDRED DOLLARS.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

20. Indemnification

You will defend, indemnify, and hold harmless Unstruk Data, Inc., Graphlit, and their affiliates, officers, directors, employees, agents, licensors, and providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • Your use of the Service
  • Customer Data
  • Your applications, products, services, or workflows built using the Service
  • Your violation of these Terms
  • Your violation of applicable law
  • Your violation of third-party rights
  • Your use of third-party services or model providers
  • Your downstream use of outputs generated through the Service

We may assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

21. Export Controls and Sanctions

You may not use the Service in violation of U.S. export control laws, sanctions, or trade restrictions.

You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions, and that you are not listed on any restricted party list.

22. Changes to the Service or Terms

We may update these Terms from time to time.

If we make material changes, we will provide notice by posting the updated Terms, sending email, notifying you through the Service, or using another reasonable method.

Your continued use of the Service after changes become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service.

23. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service will be governed by the laws of the State of California, without regard to conflict-of-law principles.

24. Dispute Resolution and Arbitration

Please read this section carefully because it affects your rights.

Except for small claims disputes and claims for injunctive or equitable relief, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration under the Federal Arbitration Act.

The arbitration will be conducted on an individual basis. You and Graphlit each waive any right to participate in a class action, class arbitration, consolidated action, private attorney general action, or representative action.

You may opt out of binding arbitration within 30 days after first accepting these Terms by emailing legal@graphlit.com with your full name, account email, organization name if applicable, and a clear statement that you wish to opt out of arbitration.

Any legal action must be brought within one year after the claim arises, unless applicable law requires a longer period.

25. Miscellaneous

These Terms, together with the Privacy Policy, Data Processing Addendum where applicable, and any other terms expressly incorporated by reference, are the entire agreement between you and Unstruk Data, Inc. regarding the Service.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, change of control, or by operation of law.

Our failure to enforce a provision is not a waiver of our right to do so later.

There are no third-party beneficiaries to these Terms unless expressly stated.
